What the primary record establishes

On November 4 the SEC announced revised small-entity definitions for purposes of the Regulatory Flexibility Act. The amendments raise asset-based thresholds, update how assets of related funds are combined and remove a separate total-assets test for advisers. They also provide for inflation adjustments by order every ten years. SEC · Small Entity Definitions ↗

What the distinction changes

The RFA category informs the SEC’s assessment of rulemaking effects on smaller organizations. Group structure can change the calculation when related fund assets must be aggregated. Registration and other regulatory classifications have their own criteria.

What to check before drawing a conclusion

For a working calculation, document the entity type, relevant group, asset measure and rule version. Use the adopting release for exact thresholds and dates before relying on a classification.
