The rule’s treatment of private securities transactions depends in part on selling compensation. A message acknowledging notice is not the same record as an approval.

What the primary record establishes

FINRA Rule 3280 requires an associated person to give prior written notice of a private securities transaction, describing the proposal, role and whether selling compensation has been or may be received, subject to the rule’s definitions and scope. For compensated participation, the member must approve or disapprove in writing. If approved, it records and supervises the activity as if executed on its behalf. For participation without selling compensation, the rule instead specifies prompt written acknowledgment and permits conditions. What the distinction changes

WFN’s operational distinction is between receipt and authority. A record saying notice received should not be transformed into approval simply because both records appear in the same workflow.

The compensation question also needs the proposal’s actual economics. A process that checks only a field labelled salary may miss a different form of selling compensation within the rule’s definition.

What to check before drawing a conclusion

Keep the proposal, role, compensation assessment, response and any conditions together. Link an approval to the activity it actually covers rather than applying it automatically to an unrelated later transaction.

This is a factual explanation of a US member-firm rule, not approval of a particular private offering. The applicable definitions and exclusions must be checked for the real activity before deciding which process governs it.
