Rule 2232 attaches a specific disclosure to defined principal transactions. The disclosed percentage is not a universal measure of every cost or every bond trade.

What the primary record establishes

FINRA Rule 2232(c) requires a dollar and percentage mark-up or mark-down disclosure for certain corporate or agency debt transactions with non-institutional customers. The trigger includes principal capacity and qualifying offsetting trades on the same trading day. FINRA — Rule 2232 Customer Confirmations ↗

The rule also contains exceptions, including defined functionally separate trading-desk circumstances and specified fixed-price offerings. For relevant non-institutional corporate or agency debt transactions, paragraph (e) separately addresses execution time and a security-specific TRACE reference. Applicability requires the actual facts, not just the security’s label. FINRA — Rule 2232 Customer Confirmations ↗

What the distinction changes

For an investor reviewing a confirmation, the practical question is what price and compensation the document describes. A mark-up is not the bond’s coupon, and a percentage of prevailing market price is not an annual investment return.

An illustrative $100 disclosure on a $10,000 prevailing-value basis is 1%. That arithmetic does not establish that a quote is fair, that all costs are included, or that the bond can later be sold at the same basis. It is a disclosure calculation, not a performance measure.

What to check before drawing a conclusion

Retain the security identifier, execution timestamp, principal or agency capacity and the complete confirmation. Compare transaction data with comparable size and timing rather than assuming that any nearby printed trade was simultaneously available to the customer.

If the document appears inconsistent, ask the firm to explain the transaction facts and relevant rule paragraph. Do not infer a violation solely from the absence of one field before checking scope and exceptions. WFN provides a focused reading guide, not a determination about an individual firm.
